THE FOLLOWING DESCRIBES THE TERMS ON WHICH VENTURESTREET, LLC OFFERS
YOU ACCESS TO OUR WEBSITE, SYSTEM AND SERVICES:
We may amend this Agreement at any time or times by posting the
amended terms on our website. All amended terms shall automatically
be effective to existing users 30 days after they are initially
posted on our website, and effective immediately to users accessing
or registering after amendments are posted. This Agreement is
effective for all users of our System.
» Our System
- We provide the users of our system a variety of resources, including a system
that helps business professionals meet other professionals, a system to facilitate the organization of
business networking groups, a system to submit or purchase service
requests (leads), and a variety of consumer related information
systems. We refer to this collection of systems and services as The
VentureStreet Network (herein
referred to as our "System").

VentureStreet, LLC (herein referred to as "VentureStreet") is the owner of the VentureStreet Network and
its associated websites, including
www.VentureStreet.com.
- You agree to comply with all applicable domestic and international
laws, statutes, ordinances, and regulations regarding your use of
our System.
» Code of Conduct
You represent, warrant and agree that no materials of any kind
submitted through your account or otherwise posted, transmitted, or
shared by you on or through the System will violate or infringe
upon the rights of any third party, including copyright, trademark,
privacy, publicity or other personal or proprietary rights; or
contain libelous, defamatory or otherwise unlawful material.
In addition, you agree not to use the System to:
- To intimidate, 'stalk', or otherwise harass another;
- For any purpose in violation of local, state, national, or
international laws;
- Impersonate any person or entity, or falsely state or otherwise
misrepresent yourself, your age or your affiliation with any person
or entity,
or use or attempt to use another's account without authorization from
the VentureStreet;
- Harvest or collect email addresses or other contact information of
from our System by electronic or other means for the purposes of
sending unsolicited emails or other unsolicited communications;
- Use the System in any unlawful manner or in any other manner that
could damage, disable, overburden or impair the System, including but
not limited to viruses and computer code;
- Use automated scripts to collect information from or otherwise
interact with the System;
- Upload, post, transmit, share, store or otherwise make available
any content that we deem to be harmful, threatening, unlawful,
defamatory, infringing, abusive, inflammatory, harassing, vulgar,
obscene, fraudulent, invasive of privacy or publicity rights,
hateful, or racially, ethnically or otherwise objectionable;
- Register for more than one User account, register for a User
account on behalf of an individual other than yourself, or register
for a User account on behalf of any group or entity;
- Upload, post, transmit, share, store or otherwise make publicly
available on the System any private information of any third party,
including, without limitation, addresses, phone numbers, email
addresses, Social Security numbers and credit card numbers;
- Upload, post, transmit, share, store or otherwise make available
content that would constitute, encourage or provide instructions for
a criminal offense, violate the rights of any party, or that would
otherwise create liability or violate any local, state, national or
international law;
- Upload, post, transmit, share, store or otherwise make available
content that, in the sole judgment of VentureStreet, is
objectionable or which restricts or inhibits any other person from
using or enjoying the System, or which may expose VentureStreet or its users
to any harm or liability of any type.
- To transmit, post or otherwise make available any unsolicited or
unauthorized advertising, promotional materials, "junk mail,"
"spam," "chain letters," "pyramid schemes," or any other form of
solicitation;
» Our Matching Service
How It Works. In part, our System is a pay for
performance advertising service that displays business listing
information and matches service requests ("Requests") from potential
customers ("Consumers") with advertisers ("Members") that are listed
in the business directory and may be able to meet the needs of the
Consumer.
VentureStreet is not involved in the actual transaction between
Consumers and Members. Consequently, VentureStreet cannot ensure
that a transaction between any Consumer and Member will occur
between the two parties. Further, if a transaction does occur,
VentureStreet has no control over the quality, safety or legality of
the item or services sold or rendered.
Our System allows Members to receive requests from interested
Consumers. You understand that VentureStreet does not guarantee
sales or results. You may receive any number of requests, clicks, or
calls, a day, or may receive zero requests, clicks, and calls for
products or services on any given day and possibly throughout your
participation in our System, and VentureStreet functions only as an
intermediary that provides Consumers and Members with access to
others within an environment that makes it easier for Consumers to
engage Members and vice versa.
You agree to assume all responsibility and liability for your use of
the System, any transactions or communications you initiate either
with a Consumer or a Member, or any claims that may result there
from. Moreover, you acknowledge and agree that the System features
materials, products, and services provided by third parties and
persons. VentureStreet makes no representations with respect to, nor
does it guarantee or endorse, the quality, non-infringement,
accuracy, completeness, timeliness, reliability, or correct
sequencing of such third party materials, products, and services or
any other materials, products, and services which such third party
materials, products and services may access. VentureStreet expressly
disclaims responsibility and liability for all third party provided
materials, products, and services accessed through the System.
Members Not Screened. VentureStreet does not
pre-screen its members. We encourage Consumers and Members to use
due diligence when hiring or working with any professional located
through our System.
Information Provided to VentureStreet. When using
the System, you will be prompted to disclose certain
information about yourself and your service requirements. Some of
this information will be sent to service professionals (Members) who
will need this information to respond to you or to other persons or
entities in connection with our business. By providing this
information to us, or by submitting a service request, you are
requesting, and you expressly consent to being contacted by us and
by our Member professionals and providers via phone, fax, email,
mail or other reasonable means, at any of your contact numbers or
addresses, even if you are listed on any federal, state, provincial
or other applicable "Do Not Call" list, in order that we may provide
the services set forth on our site, to service your account, to
reasonably address matters pertaining to your account or for other
purposes reasonably related to your service request and our
business, including marketing related emails.
You promise that all information you provide will be accurate,
current and truthful to the best of your knowledge. If you provide
any information that is untrue, not current or incomplete, or
VentureStreet has reasonable grounds to suspect that such
information is untrue, inaccurate, not current or incomplete,
VentureStreet has the right to refuse any current or future use of
the System (or any portion thereof) by you.
» Articles & Other Public Content
VentureStreet assumes no specific or implied liability in the
interpretation, use, misuse of or subsequent communication of
editorial content contained within our Web Site. The material in
this site is provided for personal, non-commercial, educational and
informational purposes only and does not constitute a recommendation
or endorsement with respect to any company or product. VentureStreet
makes no representations and specifically disclaims all warranties,
express, implied or statutory, regarding the accuracy, timeliness,
completeness, merchantability or fitness for any particular purpose
of any material contained in this site. You should seek the advice
of a professional regarding your particular situation.
» Registration & Membership
Membership. Not all registrations will be accepted
and we reserve the sole
right to deny or revoke membership at any time. By
registering to use our System, you represent and warrant that you
are at least 18 years of age, that you are who you say you are, and
that you are in the profession you say you are in.
In the event we decide to revoke a membership, we will refund any
and all membership dues paid to VentureStreet within the prior 12
months. Fees paid to VentureStreet for services other than basic
membership will not be refunded.
Acceptance is NEVER based on race, gender, religion, family status,
gender preference, or any protected class.
Password and Security.
During the registration
process you will create a password
that will enable you to access our
System. You agree to maintain the
confidentiality of your password,
and are fully responsible for all
liability and damages resulting from
your failure to maintain that
confidentiality and all activities
that occur through the use of your
password. You agree to immediately
notify us of any unauthorized use of
your password or any other breach of
security. You agree that
VentureStreet cannot and will not be
liable for any loss or damage
arising from your failure to protect
your password.
Basic Membership Fees and
Payments. General access to
our System is provided to
individuals whose registrations have
been approved. Individuals may
review our system and its services
prior to joining as a Member.
If an individual chooses to join as a member, we
charge a Basic Membership fee which
provides users access select areas
of our system, including 1) leads,
2) directory listings, and 3)
networking. This membership
fee is a subscription automatically
charged to your credit card on a
monthly basis (based on your join
date).
- Additional Fees. There are
additional fees for purchasing
"Leads" which is
explained in the "Membership
Services" section below. Any other
additional fees are not associated
with VentureStreet.
- Cancellation of Membership. To
cancel membership or discontinue
future billings of your
subscription, follow the
'Membership' link and follow
the cancellation instructions. You are
free to cancel at any time, however,
you will be responsible for paying
any outstanding charges for Leads purchased prior to
cancellation.
- Promotions. Sometimes we
offer promotions where we may
discount or waive certain fees.
Unless specifically stated, these
promotions are not retroactive to
current Members.
» Membership Services
Directory Listings. Membership entitles you to post
your business profile throughout our System (including on our public
website). You may activate or pause this feature. Activating this
feature will make Your Public Information available to publicly
accessed areas of our system (see "Your Information" below).
Leads-Service Requests. Membership entitles
you to participate in our Lead Program, however, there are
additional fees associated with this area of our System. You may
choose to purchase leads individually, through our lead bank, or
automatically through our AutoPurchase Program.
You may activate or pause this feature. Activating this feature will
make Your Public Information available to publicly accessed areas of
our system (see "Your Information" below).
Networking & Group
Management. Membership
entitles you to utilize the System
to network one-on-one with other
Members. Membership also entitles
you to join, form, or manage
Roundtables (meeting groups). You may activate or pause this feature.
Activating this feature will make Your Public Information available to
publicly accessed areas of our system (see "Your Information" below).
- Notice to Members & Guests
Attending Meetings.
Our system provides tools that
enable our Members to arrange physical
meetings (Roundtables or Individual
One-On-One Meetings, herein referred
to as a "Meetings") at venues that
include, but are not limited to,
offices, public parks, private homes
or private enterprises (such as
restaurants, coffee shops or
stores). We do not supervise these
Meetings and are not involved in any
way with the actions of any
individuals at these Meetings. Also,
we have no control over the
identity or actions of the
individuals who are present at these
Meetings. We request that our
Members and Guests exercise caution and good
judgment when attending these
Meetings.
- One-On-One Networking. You
understand that the System is
intended to help Members meet one
another for the sole purpose of
conducting business. One-on-One
Meetings are a good way to develop business relationships. However, you understand
that if another Member blocks a
request to connect or blocks an existing
connection, that means the Member is
no longer interested in doing
business with you. It is a signal
for you to refrain from contacting the Member again.
- Roundtables (Groups and Meetings).
VentureStreet provides a System to organize groups and
meetings. VentureStreet does
not manage or assume responsibility
for the organization or management
of these groups and does not make
group decisions. All decisions,
including who is provided access to
the Roundtable, where the Roundtable
occurs, and who attends Roundtables are the sole responsibility of the
Group Leaders.
- Additional Fees. You
understand that some Group Leaders
may require Group
members pay additional fees to
participate in their Groups. These
additional fees are not associated
with any VentureStreet services and
are not paid to, or controlled by,
VentureStreet. We are not
involved in the transaction in any
way what so ever.
- You agree to comply with the laws of the city, county and country
in which the Group meeting occurs, including laws governing alcohol
consumption.
- You understand that Group Leaders may set additional eligibility
requirements to join their group. VentureStreet is not involved in
these additional eligibility requirements.
- Anti-- Anti-Trust.
VentureStreet encourages all members
to act in compliance with applicable
antitrust and trade regulation laws.
Any violation of this policy is
unequivocally contrary to
VentureStreet practices.
- Release of
Liability. Because 1) we do not
supervise or control the Meetings or
interactions among and between
members, 2) we are not involved in
any way with physical transportation
to or from these Meetings, and 3) we
cannot guarantee the true identity,
age, nationality of System users,
you agree that you bear all risk for
participating in a Meeting and you
agree to release us (and our
officers, directors, shareholders,
agents, employees, affiliates,
subsidiaries, and third party
partners) and VentureStreet Group
Leaders and their designees from
claims, demands, and damages (actual
and consequential) of every kind and
nature, known and unknown, suspected
and unsuspected, disclosed and
undisclosed, now and in the future,
arising out of or in any way
connected with your use of the
System, your Third Party
Transactions, our resolution of any
disputes among users, and/or your
transportation to or from,
attendance at, or the actions of you
or other persons at, a Meeting. You
further waive any and all rights and
benefits otherwise conferred by any
statutory or non-statutory law of
any jurisdiction that would purport
to limit the scope of a release or
waiver. You waive and relinquish all
rights and benefits which you have
or may have under Section 1542 of
the Civil Code of the State of
California or any similar provision
of the statutory or non-statutory
law of any other jurisdiction
(including without limitation the
states of Missouri, Delaware and
Pennsylvania) to the full extent
that you may lawfully waive all such
rights and benefits.
» Your Information - Definitions &
Responsibilities
"Your Information" is defined as any information post or other
material you provide through the use of our System. You are solely
responsible for Your Information, and we act as a passive conduit
for your online distribution and publication of your Public
Information.
"Your Public Information" is Your Information that you submit or make
available for inclusion on publicly accessible areas of our website
(which are areas
available to Members or to the general public).
"Your Private Information" is any other portion of Your Information
(areas restricted to your viewing only and to VentureStreet).
- You understand that your Public Information may be
accessible by and made public through syndication programs and by
search engines, metasearch tools, crawlers, metacrawlers and other
similar programs.
- You, and not Street, are entirely responsible for all of
your Public Information that you upload, post, email, transmit or
otherwise make available via our System. We do not endorse any opinions expressed by you or other users. You
understand that by using our System you may be exposed to
information that is offensive, indecent or objectionable. We do not
have any obligation to monitor, nor do we take responsibility for,
Your Public Information.
- You agree that under no circumstances will VentureStreet, its
directors, officers, shareholders, employees, consultants, agents,
advisers, affiliates, subsidiaries or its third-party partners be
liable in any way for any information, including, but not limited
to, for any errors or omissions in Your Information or the
Information of or posted by other users, or for any loss or damage
of any kind incurred as a result of the use of Your Information or
Information of or posted by other users posted, emailed, transmitted
or otherwise made available in connection with our System, or for
any failure to correct or remove information.
- We do- We do not claim ownership of Your Information. However, to
enable us to use your Public Information and to ensure we do not
violate any rights you may have in your Public Information, you
grant VentureStreet a non-exclusive, worldwide, perpetual,
irrevocable, royalty-free, sublicensable (through multiple tiers)
right to exercise, commercialize and exploit the copyright,
publicity, and database rights (but no other rights) you have in
your Public Information, in any media now known or not currently
known, with respect to your Public Information.
- Consent to Disclosure. You acknowledge and agree that
VentureStreet may disclose Your Information if required to do so by
law or in the good faith belief that such disclosure is reasonably
necessary to:(a) comply with a current judicial proceeding, a court
order or legal process served on us or our website, (b) enforce this
Statement or the Terms of Service Agreement, (c) VentureStreet to
claims that Your Information violates the rights of third parties;
or (d) protect the rights, property or personal safety of
VentureStreet, its employees, users and the public.
» User Disputes
You are solely responsible for your interactions with other
VentureStreet users. We reserve the right, but have no obligation,
to monitor disputes between you and other users.
» Third Party Links & Marketing Partners
- We may provide, or third parties may provide, links to other
websites or resources. Because we have no control over such websites
or resources, you acknowledge and agree that we are not responsible
for the availability of such websites or resources, and do not
endorse and are not responsible or liable for any content,
advertising, products, or other materials on or available from such
websites or resources. You also acknowledge and agree that
VentureStreet shall not be responsible or liable, directly or
indirectly, for any damage or loss caused or alleged to be caused by
or in connection with the use of or reliance on any such content,
goods or services available on or through any such websites or
resource.
Your business dealings with, or participation in promotions of,
marketing partners or other third parties found on our website or
through our System, including payment and delivery of related goods
or services, and any other terms, conditions, warranties or
representations associated with such dealings, are solely between
you and such marketing partner or other third party. You agree that
VentureStreet shall not be responsible or liable for any loss or
damage of any sort incurred as the result of any such dealings or as
the result of the presence of such marketing partners or other third
parties on our website or located through the use of our System.
» Governing Law
Venue and Jurisdiction By visiting or using the Site and/or the
Service, you agree that the laws of the State of Delaware, without
regard to principles of conflict of laws, will govern these Terms of
Use and any dispute of any sort that might arise between you and VentureStreet or any of our affiliates.
With respect to any disputes or claims not subject to arbitration
(as set forth below), you agree not to commence or prosecute any
action in connection therewith other than in the state and federal
courts of Virginia, and you hereby consent to, and waive all
defenses of lack of personal jurisdiction and forum non conveniens
with respect to, venue and jurisdiction in the state and federal
courts of Virginia.
» Arbitration
YOU AND YOU AND VENTURESTREET AGREE THAT THE SOLE AND EXCLUSIVE FORUM AND
REMEDY FOR ANY AND ALL DISPUTES AND CLAIMS RELATING IN ANY WAY TO OR
ARISING OUT OF THESE TERMS OF USE, THE SITE AND/OR THE SERVICE
(INCLUDING YOUR VISIT TO OR USE OF THE SITE AND/OR THE SERVICE)
SHALL BE FINAL AND BINDING ARBITRATION, except that to the extent
that either of us has in any manner infringed upon or violated or
threatened to infringe upon or violate the other party's patent,
copyright, trademark or trade secret rights, or you have otherwise
violated any of the user conduct rules set forth above or in the
Code of Conduct then the parties acknowledge that arbitration is not
an adequate remedy at law and that injunctive or other appropriate
relief may be sought.
Arbitration under this Agreement shall be conducted by the American
Arbitration Association (the "AAA") under its Commercial Arbitration
Rules and, in the case of consumer disputes, the AAA's Supplementary
Procedures for Consumer Related Disputes ( the "AAA Consumer Rules")
(collectively the "AAA Rules"). The location of the arbitration and
the allocation of costs and fees for such arbitration shall be
determined in accordance with such AAA Rules and shall be subject to
the limitations provided for in the AAA Consumer Rules (for consumer
disputes). If such costs are determined to be excessive in a
consumer dispute, the Company will be responsible for paying all
arbitration fees and arbitrator compensation in excess of what is
deemed reasonable. The arbitrator's award shall be binding and may
be entered as a judgment in any court of competent jurisdiction. To
the fullest extent permitted by applicable law, NO ARBITRATION OR
CLAIM UNDER THESE TERMS OF USE SHALL BE JOINED TO ANY OTHER
ARBITRATION OR CLAIM, INCLUDING ANY ARBITRATION OR CLAIM INVOLVING
ANY OTHER CURRENT OR FORMER USER OF THE SERVICE, AND NO CLASS
ARBITRATION PROCEEDINGS SHALL BE PERMITTED. In no event shall any
claim, action or proceeding by you related in any way to the Site
and/or the Service (including your visit to or use of the Site
and/or the Service) be instituted more than three (3) years after
the cause of action arose.
» Representations & Warranties
You represent and warrant to VentureStreet that (i) You are
authorized to enter into this Agreement, either on behalf of
Yourself or on behalf of the Business You represent, and fulfill and
perform the Obligations and Obligations of a Business specified
herein, and (ii) You and/or Your Business has all required permits,
licenses, and other governmental authorizations and approvals to use
the Site and Services.
